1. About these terms
Key points in plain English (this summary is not part of the contract):
- You own your content and, as between us, what the AI builds for you. You must check it before you publish it.
- AI output can be wrong, can look like other people’s, and is not legal, tax or professional advice.
- To take payments you connect your own payment account. We do not process or hold your customers’ money.
- We give at least 30 days’ notice of price and plan changes, and you can cancel before they apply.
1.1 These terms apply to Launch by UK2, our AI Website and App Builder, including the tools, templates and publishing features we provide with it (the “Service”). They are the product terms for the Service and form part of your agreement with us under our Terms and Conditions.
1.2 Words defined in our Terms and Conditions have the same meaning here. If these terms conflict with our Terms and Conditions about the Service, these terms prevail.
2. Definitions
In these terms:
Account means your account for the Service.
AI Features means the parts of the Service that use artificial intelligence or machine learning to generate, edit or suggest websites, apps, code, text, images or other material.
AI Output means anything the AI Features generate for you, including sites, apps, code, text, images and data structures.
Credits means the units we use to measure use of the AI Features, as described in section 5.
Plan means the subscription or free trial you choose for the Service, with the features and limits we show for it.
Published Site means a website or app built with the Service that you have made available to the public or to your own users.
Site Content means your Published Site and Your Content stored in the Service, including any AI Output kept in your project.
Suppliers means the third parties we rely on to provide the Service, including AI model providers, hosting and infrastructure providers, and [our technology supplier, Extendify Inc.].
Your Content means everything you or your users submit to the Service, including prompts, text, images, files, data and code. It does not include AI Output.
3. Who can use the Service
3.1 You are responsible for everything done through your Account, including by anyone you give access to, and for making sure they follow these terms.
3.2 You may have one free trial per person or business. Creating several accounts to get more trials, Credits or free capacity breaches these terms.
3.3 You may use the Service to build sites and apps for your own business and for your own clients. You may not give your clients access to the Service as a reseller, or resell or sublicense the Service itself (see AUP section J.4).
4. The Service and how the AI works
4.1 The Service lets you describe a website or app in plain language, uses AI Features to build it, and lets you edit, preview and publish it. What you get depends on your Plan.
4.2 AI Features are automated. They run on AI models operated by us and our Suppliers. We do not review AI Output before you see it.
4.3 The Service is not:
(a) a payment processor or payment service provider (see section 9);
(b) a ready-made online shop platform. Features such as carts, checkout flows, tax, shipping, discounts and subscriptions are generated for your project, and you must test them and check they meet your needs and legal requirements;
(c) legal, tax, financial, medical or other professional advice; or
(d) a backup or archive service. Keep your own copies of the material you supply or write, such as text, images, policies and files (see clause 13.4).
4.4 Other UK2 products, such as domains and email, are provided under their own terms.
4.5 We aim to keep the Service available, but we do not promise it will be uninterrupted, error free or always secure. It may be unavailable for maintenance, for reasons outside our control, or because a Supplier (including an AI model provider) has a fault or limits its service.
4.6 We may update, improve, add or remove features, and the AI models behind the Service may change. Section 17 explains when we give notice.
4.7 Each Plan has limits, for example on projects, storage, data requests and Credits. We show them on our pricing page. We may slow or pause an Account that goes over them, and we will tell you in the Service when that happens.
5. Plans, free trial, Credits and billing
5.1 Our Plans, their features and their limits are shown on our product pricing page. You choose a Plan when you sign up and can change it later.
5.2 Free trial
5.2.1 Launch by UK2 includes a free trial for 30 days from the date you create your Account (the “Trial Period”). You do not need a payment card to start the trial. The trial is available once per customer and includes one website or app, 500,000 Credits and access to a selection of AI models. A trial that has started runs its full 30 days unless we end it under section 12.
5.2.2 To keep your work and continue after the Trial Period, you must add a valid payment card before it ends. When you add a card, you agree that we will charge it the Essential Plan price when the Trial Period ends, unless you cancel first. We will email you at least 7 days before the Trial Period ends to tell you the end date, the price and how to cancel.
5.2.3 If you cancel before the Trial Period ends, you will not be charged and your Account will not upgrade. If you have added a valid card and do not cancel, your Account will upgrade automatically to the paid Essential Plan when the Trial Period ends, at the price shown on our website on the date you started your trial.
5.2.4 If you have not added a valid card by the end of the Trial Period, your Account will not upgrade, you will not be charged. Your unsaved work will be deleted. If you have added a card but the first payment cannot be collected, your Account will still upgrade, access to the paid Plan is restricted until payment is received, and fees apply from the upgrade date.
5.3 Credits. Credits measure your use of the AI Features. Each Plan includes a monthly allowance. Your allowance renews at the start of each billing month, does not roll over, has no cash value and expires unused at the end of the month. How many Credits a request uses depends on its size and complexity and on the AI model used. We measure Credits using our systems and our Suppliers’ systems, and those records are final unless there is an obvious error.
5.4 If you use all your Credits, the AI Features pause until your allowance renews or you move to a Plan with a bigger allowance [or buy more]. Your Published Site stays live.
5.5 Paid Plans. Paid Plans are billed monthly or annually in advance, in GBP, by card or Direct Debit. They renew automatically for the same period until you cancel.
5.6 Upgrades and downgrades. An upgrade starts straight away and we charge you the difference for the rest of the period. A downgrade takes effect at the end of your current billing period.
5.7 Cancelling. You can cancel at any time in your Account settings. Your Plan then ends at the end of the period you have paid for, and you keep access until then. We do not refund part-used periods, except where the law requires it, where we are at fault, or where section 12.6 or section 17 gives you a refund.
6. Your Content and AI Output
6.1 You own Your Content. You are responsible for it, and you confirm you have all the rights needed to use it in the Service and to allow us to use it as these terms say.
6.2 You give us, and our Suppliers acting for us, a non-exclusive, worldwide, royalty-free licence to host, copy, process, adapt and display Your Content as needed to provide, secure, support and improve the Service, to publish your site as you instruct, and to create the aggregated, anonymised statistics described in clause 6.7. We do not use this licence to train AI models (see clause 6.8). The licence ends when we delete Your Content under clause 13.5, except for backups until they expire. It does not affect statistics already created under clause 6.7, because they do not identify you.
6.3 As between you and us, you own the AI Output generated for you, to the extent any rights exist in it. We do not promise that AI Output is protected by copyright or any other right, or that you can stop others using similar output.
6.4 AI Output can be wrong, incomplete, out of date, biased or offensive. It can be similar or identical to output generated for other users. It can include material that belongs to someone else, such as text, images, code, names or trademarks, and it can contain bugs, security flaws and open-source code. We do not pre-screen it, and we do not promise it is accurate, original, secure, lawful or suitable for your purposes.
6.5 You must review AI Output before you publish it or rely on it. In particular, check facts, prices and claims, legal and policy pages, accessibility, security settings, checkout and payment flows, and whether it infringes anyone’s rights. Do not rely on unreviewed AI Output where an error could cause harm, for example in medical, legal, financial or safety-critical matters.
6.6 If anyone claims AI Output or Your Content infringes their rights, tell us promptly. You must change or remove the material, and we may do so too (section 12.9).
6.7 We and our Suppliers may collect usage and performance data about the Service (such as request volumes, response times, feature usage, error rates and Credit use) and create aggregated, anonymised statistics from it, including statistics about what is built with the Service (for example, types of site). These statistics do not identify you, your customers, your end users or your site addresses, and we and our Suppliers will not try to re-identify them. We may use them for any lawful purpose, including improving the Service.
6.8 We do not use Your Content or your prompts to train, fine-tune or improve AI models, and we require our Suppliers, including AI model providers, not to either.
6.9 We will not use your name, brand or Published Site in our marketing without asking you first.
7. Acceptable use
7.1 Our Acceptable Use Policy (the “AUP”), including its section J on our AI Website Builder, applies to the Service and to everything you build or publish with it. Section J covers how you use AI features, what data you may put in the Service, misuse of the Service (including resale, which is not allowed) and telling us about prohibited use.
7.2 To report content that breaks the AUP, use the contact details in the AUP. If you become aware of a prohibited use of the Service, you must tell us promptly and take reasonable steps to stop it, including suspending the user’s access.
7.3 If you break the AUP we may act as its section J.8 and section 12 of these terms say, and we may report illegal activity to the authorities.
8. Publishing, domains and hosting
8.1 Nothing is public until you publish it. Once you publish, you are responsible for the Published Site and for keeping it lawful.
8.2 You can publish to a domain you choose. You must own the domain or have the right to use it. Domain registration and DNS are provided under our domain terms, not these terms, and you are responsible for renewing your domain.
8.3 If we give you a temporary or preview address, it remains ours, may change, and is not suitable for a live business site. We will give you at least [7] days’ notice before we change or reclaim it, unless there is an urgent legal, security or abuse issue.
8.4 Your Published Site, and the data it and the Service hold (including your prompts, content and any data your site stores), are hosted and processed by our Suppliers in the United States. Some AI processing and logging may also take place in the EU. We do not host your site in the UK. We protect UK personal data sent outside the UK as our Privacy Policy explains (see section 11).
8.5 If you run a business, your site must show the information the law requires. This may include your company or trading details, contact details, VAT number, privacy and cookie notices, terms of sale, and delivery, return and refund information. AI-generated pages are drafts: check them against the rules that apply to you.
8.6 Your site must stay within the traffic, storage and data request limits of your Plan. If it needs more, we will ask you to move to a bigger Plan before we limit it, unless the load threatens other customers.
8.7 We may remove or disable access to a Published Site, or part of it, under section 12.
9. Taking payments and running a shop
9.1 You can add payment features to a Published Site using payment providers you connect, such as Stripe, PayPal or GoCardless. You must use your own account with each provider and accept its terms. We are not a party to your agreement with the provider.
9.2 Checkout is provided by your payment provider through a hosted or redirect page. We do not process, hold or settle your customers’ payments, and we are not a payment service provider, bank or marketplace.
9.3 You are the seller. You are responsible for the goods and services you sell, your contracts with your customers, your prices, VAT and other taxes, invoicing, delivery, returns, refunds, chargebacks and fraud, and for complying with consumer protection, product safety and age-restriction laws.
9.4 The Service does not calculate or collect tax, work out shipping or manage stock unless you build and configure that yourself, and we do not give tax or legal advice.
9.5 Test before you go live. Checkout, order, confirmation, refund, tax and delivery flows are generated for your project. Before taking real orders, test them in your provider’s test mode, and test again after every change. We do not promise they will work or comply with the law.
9.6 Your payment provider may refuse, limit or end its service to you, and we may disable a payment integration if there is a security, legal or abuse concern. We are not responsible for a provider’s decisions, charges or outages.
9.7 You must not use the Service to sell anything prohibited by the AUP or by your payment provider’s rules.
9.8 Other connected services. If you connect another service, such as a mailing list, calendar or CRM, you authorise the Service and its AI Features to access, send and change data in that service as you instruct. You are responsible for that service’s terms, your login details and API keys, and the actions taken through the connection. You can disconnect it at any time. We are not responsible for connected services or their changes and outages.
10. Suppliers and third-party services
10.1 The Service depends on Suppliers, including AI model providers and hosting and infrastructure providers. We are responsible to you for the Service we provide, under these terms. We are not responsible for third-party services you choose to connect (section 9.8).
10.2 Some Supplier terms apply to your use of the Service, such as an AI model provider’s usage policy. We will tell you where they apply.
10.3 Suppliers and AI models may change or be replaced. This can change how the AI Features behave, what AI Output looks like and how many Credits a request uses. We give notice of material reductions under section 17.
10.4 AI Output and templates may include open-source software. Its licences apply, and you are responsible for complying with them if you copy, export or distribute it.
10.5 If a Supplier’s fault affects the Service, we will tell you what we know and when the Service is expected to resume.
11. Personal data on your site
11.1 You are responsible for the lawful use of personal data on your site. This includes having a lawful basis and any consents, giving privacy and cookie notices, handling requests from individuals, and following direct marketing rules. If your site uses AI Features that visitors interact with, you must tell visitors, and you are responsible for the consents and notices that feature needs.
11.2 AI-generated sites can contain security and privacy mistakes, such as open database rules or missing access controls. You must review your site’s security, access and database settings before you publish it and whenever you change it.
11.3 Your site and its data are hosted and processed in the United States (section 8.4). Our Privacy Policy and Data Processing Addendum explain how we handle personal data on your site, including security, our sub-processors, how we protect UK personal data sent outside the UK, and what we do if there is a personal data breach. Section J.5 of the AUP limits the types of personal data you can put in the Service.
12. Suspension and termination
12.1 You can cancel your Plan at any time (section 5.7).
12.2 We may suspend or restrict your Account, a project or a Published Site straight away, without notice where giving it is not practicable or lawful, if:
(a) you seriously breach the AUP;
(b) your use threatens the security or operation of the Service, a Supplier or other customers;
(c) we reasonably suspect fraud or illegal activity;
(d) the law, a court or an authority requires it;
(e) a Supplier suspends, or requires us to suspend, your use; or
(f) you become insolvent or stop trading in the ordinary course.
12.3 In other cases, such as unpaid fees or a breach we think you can fix, we will give you at least [7] days’ written notice and a chance to put it right before we suspend.
12.4 We will limit a suspension to the affected project, site or Account where we reasonably can. During a suspension we will still deal with requests under clause 13.5, unless the suspension is because of unlawful content or a security risk, or the law, a court or an authority requires otherwise
12.5 Whenever we suspend, restrict or remove anything, we will tell you by email at the time or as soon as we can, say why, and explain how to challenge the decision at [email protected]. We will restore access promptly once the problem is resolved.
12.6 We may end these terms:
(a) if you seriously or repeatedly breach them and do not fix the breach within [14] days of notice, or immediately for the reasons in 12.2(a), (c) or (d);
(b) on at least 60 days’ written notice if we decide to stop offering the Service, or change it so that it no longer works for you, in which case we refund the unused part of any period you have prepaid; or
(c) for convenience on at least 60 days’ written notice, with the same refund.
If a Supplier or the law forces us to end the Service sooner, we will give as much notice as we can.
12.7 When these terms end, your right to use the Service stops (subject to section 13) and fees you owe up to that date remain payable. Sections that by their nature should continue, including 6, 14, 15 and 16, continue.
12.8 If you think we have acted wrongly, contact [email protected]. We will reply within 7 working days. This does not affect your legal rights.
12.9 We may remove or disable access to specific content, a project or a Published Site that we reasonably believe is unlawful or breaches these terms, or that is the subject of a valid infringement notice. We will tell you when we do, unless the law prevents it.
13. Backups, recovery and exporting your site
13.1 Your Site Content is backed up by our Suppliers that host your site (see clause 8.4) as part of the hosting service. We do not provide separate backups to you. Backups are kept for 7 days. We do not guarantee that any particular backup exists or is complete.
13.2 If your Site Content is lost or corrupted, you can ask us to restore it from the most recent available backup. We will ask our Supplier to preserve that backup and will use reasonable endeavours to restore it within 7 working days of your request. We will tell you the cost before we restore it, and we will not charge you if we or our Suppliers caused the loss or corruption.
13.3 Self-service download or export of your site’s code and files is only available on Agency Plans that include code download, as shown on our pricing page.
13.4 Clause 13.3 does not affect your ownership of Site Content under section 6. You are responsible for keeping your own copies of material you supply, such as text, images and files.
13.5 If your Plan ends, we keep your Site Content for 90 days (the “Retention Period”) so that you can ask us to give you a copy of the personal data in it, in a commonly used format, or to delete it, as our Data Processing Addendum sets out. You can also tell us before your Plan ends, or at any time, that you want your Site Content deleted, and we will delete it within 30 days of your request, or of the date your Plan ends if later. If you do not ask for a copy or deletion, we delete Site Content within 30 days after the Retention Period ends, unless the law requires us to keep it. Backups of it expire as in clause 13.1 and are deleted within 90 days at the latest.
13.6 If we end the Service for a reason other than your breach, we will keep your Published Site live for at least 60 days after the end date, unless the law or a Supplier prevents it. During that time, whatever your Plan, we will give you your site’s code and files in a commonly used format on request.
13.7 Code and files we give you may depend on services we provide or on Supplier services such as hosting, a database or sign-in, and may need changes to work elsewhere. We do not promise they will run outside the Service.
13.8 Your domain remains yours. If you move your site, we can help you point your domain elsewhere.
14. Limits that apply to the Service
14.1 We do not promise that the Service will meet your particular needs, be uninterrupted, error free or secure, or deliver business results such as traffic, search rankings or sales.
14.2 If you are a business, the Service is provided “as is”, and we exclude all other warranties and conditions that the law allows us to exclude. In particular, we do not promise that AI Output is accurate, original, lawful, secure or free from third-party rights.
14.3 If you are a business, we are not liable to you for: (a) errors in AI Output, or claims that AI Output or Your Content infringes someone’s rights; (b) the acts, failures or outages of Suppliers or of services you connect, except to the extent we cause them; or (c) losses caused by your not reviewing or testing your site as these terms require, or not keeping your own copy where your Plan lets you download one.
14.4 These limits sit alongside the limit of liability in our Terms and Conditions. Nothing in these terms limits liability that cannot lawfully be limited or excluded.
15. Your responsibility and indemnity
15.1 You are responsible for Your Content, your Published Sites, how you use AI Output, your own customers and users, and following the laws that apply to your business.
15.2 If you are a business, you will indemnify us and our Suppliers against all losses, damages, costs and reasonable legal fees arising from a third-party claim, to the extent it arises from: (a) Your Content or a Published Site; (b) your use, modification, publication or distribution of AI Output; (c) your breach of the AUP or of the law; (d) goods or services you sell, or your dealings with your customers and payment providers; or (e) your use of services you connect.
15.3 If a claim is made against us or a Supplier, we will tell you promptly and give reasonable help at your cost. You may run the defence with advisers we reasonably accept, but we or the Supplier may take over our own defence if we reasonably think it necessary to protect our position. You must not settle in a way that admits fault on our behalf or limits what we or our Suppliers can do without our consent. We will not settle a claim you are defending without your consent, which you must not unreasonably withhold.
15.4 Our Suppliers may enforce sections 6, 7, 14 and 15 against you under the Contracts (Rights of Third Parties) Act 1999. We and you may change or end these terms without their consent.
16. Intellectual property and feedback
16.1 We and our Suppliers own the Service, its software, models, templates and documentation, and our names and logos. You get a non-exclusive, non-transferable right to use the Service while these terms last, in line with these terms. We do not transfer ownership of any of these to you. Your Content and AI Output are covered by section 6.
16.2 Do not use our names, logos or brands, including UK2 and Launch by UK2, except to say accurately that you built your site with the Service. Published Sites on some plans may show a small “Built with Launch by UK2” badge.
16.3 If you give us ideas, suggestions or comments about the Service, we and our Suppliers may use them freely, without payment or credit to you, under a perpetual, worldwide, irrevocable, royalty-free licence that we may sublicense. We do not have to use them.
17. Changes to the Service and pricing
17.1 We may change the Service. If a change materially reduces what your paid Plan includes, for example fewer Credits, fewer projects, smaller limits or the removal of a major feature, we will give you at least 30 days’ notice by email or in the Service. If a Supplier withdraws or replaces an AI model and we cannot give 30 days’ notice, we will give you as much notice as we reasonably can. A change of AI model that does not materially reduce what your Plan includes is not a reduction. You may cancel before the change takes effect, or within 30 days after our notice if it takes effect sooner, and we will refund the unused part of any period you have prepaid.
17.2 We will give you at least 30 days’ written notice of any price increase. It applies from your next renewal after the notice period, and never during a period you have already paid for. If you do not accept it, cancel before it applies and you will pay the old price until then.
17.3 Free trials and free allowances. We may change or withdraw free trials and free allowances, subject to section 5.2.
